Terms of Use

This document is an electronic record in terms of the Information Technology Act, 2000 and rules thereunder, and the amended provisions pertaining to electronic records in various statutes. It is published in accordance with Rule 3(1) of the Information Technology (Intermediaries Guidelines) Rules, 2011.

The Platform at investvessify.com ("Platform") is owned and operated by Stratus Selyn Enterprises Private Limited (CIN: U85101KA2024PTC190455), trading as Invest with Vessify, a company incorporated under the Companies Act, 2013, with its registered office at 15/2, Janak Villa, 2nd Main, 13th Cross, Vyalikaval, Bengaluru, Karnataka 560003 (referred to as "we", "us", "our", or "Platform Owner").

References to "you", "your", or "user" mean any natural or legal person who accesses or uses the Platform.

Stratus Selyn Enterprises Private Limited is registered with SEBI as a Research Analyst under the SEBI (Research Analysts) Regulations, 2014.

This registration authorises us to publish research reports and provide research services on listed securities in India. Registration does not constitute a guarantee of performance or assurance of returns.

Other activities: Stratus Selyn Enterprises Private Limited also operates a Footprints preschool franchise. This activity is not regulated by SEBI. Complaints relating to preschool services cannot be raised with SEBI or RAASB. Our SEBI RA registration applies exclusively to research services provided through this Platform.

• You agree to provide true, accurate, and complete information during registration and to keep it updated
• You are responsible for all activity that occurs through your account
• You must be at least 18 years of age to register for a paid subscription or access research services
• You agree not to share your account credentials with any other person
• We reserve the right to suspend or terminate your account if we detect misuse, false information, or a breach of these Terms
• These Terms may be updated at any time. It is your responsibility to review them periodically. Continued use of the Platform after changes are posted constitutes acceptance.

The research services provided through the Platform include:

• Research reports on listed securities, mutual funds, and related instruments, based on publicly available information and independent analysis
• Buy, hold, or sell recommendations with documented rationale and disclosures
• Sector and thematic research, and educational content including articles, videos, and courses

All paid research services are governed by the Most Important Terms and Conditions (MITC) available at investvessify.com/mitc, which you must read and accept before subscribing.

Research reports are supported by documented data and analysis as required under Regulation 20(4) of the SEBI RA Regulations. Records of all reports are maintained for a minimum of 5 years.

Important: The research reports, articles, videos, and other content on this Platform represent general research and independent views. They do not constitute personalised investment advice tailored to your financial situation, goals, or risk profile. For personalised advice, please consult a SEBI Registered Investment Adviser (RIA).

• We cannot and will not execute trades or transact on your behalf
• No assurance of returns, guaranteed profits, or performance targets are provided, explicitly or implicitly
• Investments in securities markets are subject to market risks. Please read all related documents carefully before investing.
• Past performance of any security, fund, or strategy discussed on this Platform is not indicative of future performance

You agree not to:

• Use the Platform for any unlawful purpose or in violation of any applicable law, including SEBI regulations
• Reproduce, distribute, republish, sell, or commercially exploit any research reports, content, or materials from this Platform without our written permission
• Attempt to gain unauthorised access to any part of the Platform, its servers, or connected systems
• Use automated tools, bots, scrapers, or crawlers to access, extract, or index the content of the Platform
• Impersonate Invest with Vessify or any of our team members
• Upload or transmit any content that is defamatory, obscene, fraudulent, or harmful to others
• Share your subscription with others or use a single account across multiple households in a manner that circumvents subscription fees

All content on the Platform, including research reports, articles, videos, calculators, brand assets, design, and code, is the proprietary intellectual property of Stratus Selyn Enterprises Private Limited or its licensors. "Vessify" is a registered trademark of Stratus Selyn Enterprises Private Limited.

You may access and use content for your personal, non-commercial use only. You may not reproduce, distribute, modify, or create derivative works from any content on this Platform without our prior written consent.

• Paid research services are offered on subscription plans as described on the Platform at the time of purchase
• All fees are payable in Indian Rupees through accepted payment methods on the Platform
• As per SEBI regulations, the maximum fee chargeable by a Research Analyst is Rs. 1,51,000 per annum per family of client
• Refunds are governed by our Refund Policy at investvessify.com/refund-policy
• We reserve the right to change subscription fees on prior notice. Existing subscriptions are not affected during their current term.

The Platform may contain links to third-party websites, tools, or services. These are provided for convenience only. We do not endorse, control, or take responsibility for the content, privacy practices, or accuracy of third-party sites. Your use of those sites is governed by their own terms and privacy policies.

Neither we nor our directors, employees, or affiliates warrant that the information, research, or content on this Platform is accurate, complete, timely, or suitable for any specific purpose. We expressly exclude liability for any inaccuracies or errors to the fullest extent permitted by law.

Your use of the Platform and its services is at your own risk. We shall not be liable for any direct, indirect, incidental, special, or consequential losses arising from:

• Investment decisions made based on our research or content
• Interruptions in access to the Platform
• Unauthorised access to your account due to your failure to maintain credential security
• Actions of third-party service providers linked from the Platform

You agree to indemnify and hold harmless Stratus Selyn Enterprises Private Limited, its directors, officers, employees, and agents from any claim, demand, loss, or liability (including reasonable legal fees) arising out of your breach of these Terms, your violation of any applicable law, or your infringement of any third-party rights.

We shall not be liable for any failure or delay in performance of our obligations if such failure or delay results from events beyond our reasonable control, including but not limited to natural disasters, government actions, internet infrastructure failures, or regulatory orders.

We reserve the right to suspend or terminate your access to the Platform at any time, with or without notice, if you breach these Terms or if required by applicable law or a regulatory order. You may discontinue your use of the Platform at any time. Provisions of these Terms that by their nature should survive termination will remain in effect.

For any complaints or concerns relating to our research services or your use of the Platform:

• Step 1: Contact us directly. We will respond within 7 business days. Email contact below (verify via captcha).
• Step 2: If unresolved, escalate to SEBI SCORES 2.0 at scores.sebi.gov.in
• Step 3: For online dispute resolution, use SMARTODR at smartodr.in/login

These Terms and any dispute or claim relating to them shall be governed by and construed in accordance with the laws of India. All disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka, subject to arbitration or dispute resolution mechanisms prescribed by SEBI.
